Agreement to These Terms and Conditions

BY CLICKING "I AGREE," CHECKING A BOX CONFIRMING YOUR ACCEPTANCE, USING ANOTHER ACCEPTANCE METHOD PROVIDED THROUGH THE SERVICE, CREATING AN ACCOUNT, PURCHASING A PRODUCT OR SERVICE, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, ACCEPT, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.

BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND, TO THE FULLEST EXTENT PERMITTED BY LAW, YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, REPRESENTATIVE ACTION, OR OTHER COLLECTIVE PROCEEDING.

HealFastRx and the Service

HealFast, Inc., doing business through HealFastRx ("HealFast," "HealFastRx," "we," "us," or "our"), owns and operates the website located at www.healfastrx.com and related websites, software, applications, and services.

Your access to and use of the website, its content, products, services, patient-facing functionality, and affiliated websites, applications, or technology, collectively referred to as the "Service," are subject to these Terms and Conditions ("Terms," "Agreement").

In these Terms, "you" and "your" refer to the person accessing or using the Service.

You must be at least eighteen (18) years of age, or the applicable age of majority in your state if greater than eighteen, to use the Service.

Acceptance and Modification of Terms

Your access to and use of the Service is governed by these Terms and applicable law.

We reserve the right to modify these Terms from time to time.

Changes will become effective when posted on the Service unless otherwise stated or required by law.

Your continued use of the Service after revised Terms are posted constitutes your acceptance of those revised Terms.

Your Relationship With HealFastRx

HealFastRx provides access to certain products, technology, coordination services, telehealth services, prescription fulfillment services, and related offerings.

Certain services available through HealFastRx are provided by independent third parties, including:

  • Licensed medical groups
  • Physicians and other licensed healthcare professionals
  • Licensed pharmacies
  • Telehealth technology providers
  • Payment processors
  • Identity verification providers
  • Shipping and fulfillment providers
  • Other vendors and service providers

For purposes of these Terms, applicable licensed medical organizations may be referred to as the "Medical Group," licensed healthcare professionals as the "Providers," and applicable licensed pharmacies as the "Pharmacies."

HealFast does not control or interfere with the practice of medicine by the Medical Group or Providers.

Each Provider is solely responsible for the medical care, clinical judgment, diagnosis, treatment recommendations, and prescribing decisions they provide.

HealFast does not control or interfere with the professional pharmacy services provided by the Pharmacies.

Each Pharmacy is solely responsible for the professional pharmacy services it provides.

HealFast is not a healthcare provider and does not practice medicine.

By using the Service, you are not establishing a physician-patient or healthcare provider-patient relationship with HealFast.

You may, however, establish a healthcare provider-patient relationship with a Medical Group and one or more Providers through the Service.

Any prescription medication is prescribed only when an independent licensed Provider determines, in their professional medical judgment, that the medication is medically appropriate for you.

Technology Providers

Certain portions of the Service may be powered or facilitated by third-party technology providers, including Bask Health.

Such technology may be used for functions including:

  • Patient intake
  • Identity verification
  • Provider review
  • Patient portal access
  • Provider communications
  • Payment processing
  • Prescription coordination
  • Pharmacy fulfillment
  • Order management
  • Other telehealth functionality

Your use of third-party functionality may also be subject to terms or policies applicable to those services.

Communications With Providers

By using the Service, you consent to receiving communications from the Medical Group, Providers, HealFast, Pharmacies, and applicable service providers through electronic means.

These communications may include email, SMS, secure messaging, patient portal communications, telephone calls, audiovisual communications, and other electronic transmissions.

You are responsible for monitoring and responding appropriately to communications concerning your treatment.

Neither HealFast nor the Medical Group, Providers, or Pharmacies is responsible for harm resulting from your failure to review communications, respond to requests, follow treatment recommendations, or comply with instructions provided by a Provider.

Subscription Products and Services

Certain products or services offered through HealFastRx may be made available on an automatically renewing subscription or recurring treatment basis.

If you enroll in a recurring plan, your payment method may automatically be charged at the interval disclosed during checkout unless and until the subscription is canceled.

The timing of renewals, charges, or shipments may occasionally be adjusted for weekends, holidays, pharmacy processing requirements, shipping schedules, or other operational reasons.

You may receive periodic requests to update your medical information before a refill or renewal is approved.

A Provider may require additional information, follow-up, laboratory testing, or another consultation before authorizing continued treatment.

A subscription does not guarantee that a prescription will continue to be medically appropriate or prescribed.

A Provider may change, pause, decline, or discontinue treatment based on their independent medical judgment.

To cancel future subscription renewals, you may use available account functionality or contact:

Unless otherwise disclosed during checkout, cancellation applies to future renewals and does not retroactively cancel services already performed or orders already submitted for processing.

We may modify subscription pricing or plan features from time to time. Where required, we will provide notice before changes become applicable to your future subscription charges.

Pricing

Where a product or treatment includes multiple components, you may be shown and charged a single combined price.

Depending on the treatment, that price may include amounts associated with:

  • HealFastRx services
  • Medical evaluation or healthcare services
  • Prescription medication
  • Pharmacy dispensing and fulfillment
  • Shipping
  • Patient support
  • Other treatment-related services

Where applicable, HealFast may collect certain amounts on behalf of third parties involved in your treatment.

Prices and included services are disclosed during checkout and may vary depending on medication, dosage, treatment plan, availability, or other applicable factors.

Order Cancellation Policy

Once an initial order has been submitted for medical review, it may no longer be eligible for cancellation.

Your health information may be routed promptly to an independent licensed Provider to determine your medical eligibility for treatment.

Once the medical review process has begun, the associated consultation or order may be considered in process even if medication has not yet been dispensed.

Cancellation requests are subject to processing status and applicable pharmacy, Provider, and Service policies.

Refund Policy

TO THE FULLEST EXTENT PERMITTED BY LAW, FEES AND CHARGES FOR SERVICES THAT HAVE ALREADY BEEN PERFORMED, MEDICAL REVIEWS THAT HAVE ALREADY BEGUN, PRESCRIPTIONS THAT HAVE BEEN PROCESSED, OR MEDICATIONS THAT HAVE ALREADY BEEN DISPENSED OR SHIPPED MAY BE NONREFUNDABLE.

Additional refund terms may be presented during checkout or in connection with a particular treatment or service.

HealFast reserves the right to address customer concerns and provide credits or refunds on a case-by-case basis where appropriate and permitted by law.

Nothing in this section limits any non-waivable rights you may have under applicable law.

Prescription Products

Certain products available through the Service require a valid prescription from an appropriately licensed Provider.

You may obtain a prescription product only if:

  • You provide the required health and medical information;
  • A licensed Provider evaluates that information;
  • The Provider determines that treatment is clinically appropriate;
  • The Provider issues a valid prescription; and
  • Any other applicable legal or clinical requirements are satisfied.

Providers are solely responsible for making prescribing decisions using their independent professional judgment.

Completion of an intake form, payment of any fee, or selection of a particular medication does not guarantee that a prescription will be issued.

If the Provider determines that a prescription medication is appropriate for you, the prescription may be submitted to an applicable Pharmacy for fulfillment.

Unless otherwise required by law or specifically requested and approved through your Provider, prescriptions may be routed among participating Pharmacies based on factors including:

  • Your geographic location
  • Pharmacy licensure
  • Medication availability
  • Prescription requirements
  • Fulfillment capacity
  • Applicable law

Medication dispensed through the Service is provided by the applicable Pharmacy, not manufactured or dispensed by HealFast.

You are responsible for storing prescription medications securely and in accordance with all pharmacy and Provider instructions.

Branded and Compounded Medications

The Service may provide access to both FDA-approved branded prescription medications and compounded prescription medications where lawfully available and medically appropriate.

Branded medications may include products such as Wegovy® and Zepbound®.

Compounded medications are prepared by compounding pharmacies pursuant to applicable law and valid prescriptions.

Compounded medications are not FDA-approved and do not undergo FDA premarket review for safety, effectiveness, or manufacturing quality in the same manner as FDA-approved drugs.

A Provider is solely responsible for determining which treatment, if any, is medically appropriate for you.

HealFast does not guarantee the availability of any particular medication or formulation.

Medication availability may change without notice based on regulatory requirements, pharmacy availability, supply conditions, Provider judgment, or other factors.

Third-Party Trademarks

Wegovy® is a trademark of its respective owner.

Zepbound® is a trademark of its respective owner.

Use of third-party medication names or trademarks on the Service is for identification and informational purposes and does not imply affiliation with, sponsorship by, or endorsement from the applicable manufacturer unless expressly stated.

Financial Responsibility and Self-Pay Services

Unless expressly stated otherwise, services offered through HealFastRx are provided on a self-pay basis.

HealFast does not represent that services or prescription medications purchased through the Service will be reimbursed by:

  • Medicare
  • Medicaid
  • TRICARE
  • Other federal healthcare programs
  • State healthcare programs
  • Private insurance plans

You are responsible for determining whether any product or service is eligible for reimbursement from an insurer, health savings account, flexible spending account, or other benefit program.

Unless otherwise expressly stated, you are solely financially responsible for all services and products purchased through the Service.

HealFast, the Medical Group, Providers, and Pharmacies are not responsible for an insurer's decision to deny reimbursement.

Restrictions on Use and Availability

The Service is available only where HealFast, the Medical Group, Providers, Pharmacies, and other necessary parties are legally permitted to provide the applicable service.

Availability may vary by state.

By using the Service, you represent and warrant that:

  • You are at least eighteen (18) years of age or the applicable legal age of majority;
  • You are physically located in a state where the applicable telehealth service is available when receiving medical care;
  • Information you provide about your location is accurate;
  • You will comply with applicable federal, state, and local laws; and
  • You will use the Service only for lawful purposes.

Certain products or services may have additional eligibility restrictions.

The availability of a medication on the website does not mean the medication is available or medically appropriate for every user.

Duty to Provide Accurate Information

You agree to provide truthful, current, accurate, and complete information when using the Service.

This includes, where applicable:

  • Medical history
  • Current medications
  • Allergies
  • Symptoms
  • Health conditions
  • Height and weight
  • Identity information
  • Contact information
  • Shipping address
  • State of residence and physical location
  • Other information requested by HealFast, Providers, Pharmacies, or service providers

Withholding or providing inaccurate medical information could result in inappropriate treatment and may create serious health risks.

You agree to promptly notify your Provider about significant changes in your health or medications where relevant to your treatment.

Technology and Connectivity

You are responsible for obtaining and maintaining any equipment, software, internet access, telephone service, mobile device, camera, or other technology needed to access the Service.

You are responsible for fees charged by your internet provider, mobile provider, or other communications provider.

HealFast may change technical requirements from time to time.

Privacy Policy

Your use of the Service is also subject to the HealFastRx Privacy Policy.

The Privacy Policy explains how HealFast may collect, use, disclose, and otherwise process personal information.

Protected Health Information

Certain information provided in connection with diagnosis, treatment, or prescription fulfillment may constitute protected health information or other legally protected medical information.

HealFast itself is not necessarily a covered entity under the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations ("HIPAA").

The Medical Group, Providers, Pharmacies, and service providers may be covered entities or business associates depending on their roles.

HealFast may in certain circumstances act as a business associate on behalf of an applicable covered entity.

HIPAA does not apply to information merely because it relates to health.

Information collected by HealFast for purposes unrelated to diagnosis, treatment, or prescription fulfillment may instead be governed by HealFast's Privacy Policy and applicable state privacy laws.

The Medical Group, Providers, or Pharmacies may provide separate Notices of Privacy Practices regarding the use and disclosure of PHI.

Use and Ownership of the Service

The Service and its content are owned by or licensed to HealFast and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws.

Subject to these Terms, HealFast grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Service solely for its intended purposes.

HealFast reserves all rights not expressly granted.

The Service may include:

  • Software
  • Source code and object code
  • Website designs
  • Graphics
  • Logos
  • Photographs
  • Videos
  • Illustrations
  • Product descriptions
  • Written content
  • Educational materials
  • Blog content
  • Audio
  • User interfaces
  • Layouts
  • Databases
  • Documentation
  • Other proprietary materials

You may not reproduce, copy, distribute, modify, sell, publicly display, reverse engineer, or otherwise exploit Service content except as expressly permitted by HealFast or applicable law.

The HealFast and HealFastRx names, logos, trademarks, service marks, and related branding may not be used without HealFast's prior written permission.

Third-party trademarks appearing through the Service remain the property of their respective owners.

User Submissions

If you submit feedback, questions, reviews, comments, suggestions, or other non-medical content to HealFast, you grant HealFast a non-exclusive, worldwide, royalty-free license to use that content as reasonably necessary to provide, improve, operate, or promote the Service, subject to applicable law.

This provision does not give HealFast unrestricted rights to use PHI or other legally protected medical information.

Any use or disclosure of protected medical information remains subject to applicable privacy and health laws.

You represent that you have the right to submit any material you provide and that your submission does not violate another person's intellectual property, privacy, or other legal rights.

Prohibited Uses

You may not use or attempt to use the Service:

  • For any unlawful, unauthorized, fraudulent, or malicious purpose
  • In a manner that damages, disables, disrupts, or interferes with the Service
  • To gain unauthorized access to systems, accounts, data, or networks
  • To obtain information through methods not intentionally made available through the Service
  • To impersonate another person or entity
  • To create fraudulent or misleading accounts
  • To submit false medical, identity, or payment information
  • To transmit malware, viruses, spyware, malicious code, or harmful software
  • To infringe another party's intellectual property rights
  • To harvest information about other users
  • To send spam, phishing communications, or unauthorized advertising
  • To scrape or systematically extract information from the Service
  • To probe, scan, or test the vulnerability of the Service
  • To bypass security or authentication controls
  • To reverse engineer or decompile Service technology except where expressly permitted by law

HealFast may suspend or terminate access to the Service for suspected violations of these Terms.

HealFast may cooperate with law enforcement or regulatory authorities where appropriate.

User Accounts, Passwords, and Security

You may be required to create an account to access certain portions of the Service.

You agree to provide accurate information and keep your account information current.

You are responsible for maintaining the confidentiality of your login credentials and for activities occurring through your account.

You may not permit another person to use your account.

You agree to notify HealFast promptly if you suspect unauthorized access or use.

  • Service updates
  • Customer support

Third-Party Goods and Services

Products and services accessible through HealFastRx may be provided by independent third parties, including Medical Groups, Providers, Pharmacies, payment processors, technology providers, and shipping providers.

Certain prescription medications constitute third-party goods or services because they are prescribed by Providers and dispensed by Pharmacies rather than HealFast.

Your interactions with applicable third parties may also be governed by their terms, notices, and policies.

HealFast is not responsible for professional medical or pharmacy decisions made independently by Providers or Pharmacies.

Nothing in these Terms limits liability that cannot lawfully be limited or waived.

Terms of Sale

All products and services are subject to availability.

HealFast reserves the right, to the extent permitted by law, to:

  • Limit quantities
  • Reject an order
  • Correct pricing or listing errors
  • Modify prices
  • Cancel an order
  • Issue refunds where appropriate
  • Modify availability

Prices may change at any time before an order is completed.

You are responsible for applicable sales, use, excise, or other taxes where legally required.

Payment Authorization

Only valid payment methods may be used.

By providing payment information, you represent that you are authorized to use the payment method.

You authorize HealFast and its payment processing providers to charge your payment method for applicable:

  • Product charges
  • Medical service charges
  • Subscription charges
  • Taxes
  • Shipping charges
  • Other amounts clearly disclosed during checkout

Recurring payment authorization will continue until the applicable subscription is canceled.

Third-party payment providers may participate in card-account updater services that provide updated card numbers or expiration information.

Your bank or card issuer may impose separate charges for which HealFast is not responsible.

Shipping and Delivery

Where prescription medication is prescribed, it will generally be shipped by the applicable dispensing Pharmacy.

Shipping methods and delivery estimates may be displayed during checkout or through the patient portal.

Any stated shipping time, including 2-day shipping, refers to the applicable shipping service after the medication has been processed and released for shipment unless expressly stated otherwise.

Medical review, prescription processing, pharmacy preparation, weekends, holidays, weather, carrier disruptions, medication availability, or regulatory requirements may affect total delivery time.

Delivery dates are estimates and are not guaranteed.

You are responsible for providing an accurate and complete shipping address.

Certain medications may have storage or temperature requirements. You are responsible for following all storage instructions provided by the Pharmacy or manufacturer promptly after delivery.

Termination

HealFast may suspend or terminate your access to all or part of the Service where permitted by law, including if:

  • You violate these Terms
  • You engage in fraudulent or abusive behavior
  • Continued access presents a security concern
  • Required third-party relationships terminate
  • The Service is discontinued
  • Continued access would violate applicable law

Provisions concerning intellectual property, privacy, prohibited activities, disclaimers, limitation of liability, indemnification, arbitration, dispute resolution, and other provisions that by their nature should survive will continue after termination.

Termination of your HealFast account does not necessarily affect medical records that a Provider or Pharmacy is legally required to maintain.

Medical and Informational Disclaimers

Content made available through HealFastRx is intended for general informational and educational purposes unless expressly provided to you by your licensed Provider as part of medical care.

General website content is not a substitute for professional medical advice, diagnosis, or treatment.

You should not disregard professional medical advice or delay obtaining medical care because of information presented on the public HealFastRx website.

Always contact your Provider regarding questions about your diagnosis, medication, treatment plan, side effects, or medical condition.

Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

HEALFAST AND APPLICABLE THIRD PARTIES DISCLAIM WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND SATISFACTORY QUALITY, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

HEALFAST DOES NOT GUARANTEE THAT:

  • THE SERVICE WILL ALWAYS BE AVAILABLE
  • THE SERVICE WILL BE ERROR-FREE
  • THE SERVICE WILL BE FREE FROM SECURITY INCIDENTS
  • INFORMATION ON THE SERVICE WILL ALWAYS BE COMPLETE OR CURRENT
  • ANY PARTICULAR TREATMENT WILL BE PRESCRIBED
  • ANY PARTICULAR MEDICATION WILL BE AVAILABLE
  • YOU WILL ACHIEVE ANY PARTICULAR HEALTH OR WEIGHT-LOSS RESULT

MEDICAL OUTCOMES VARY BY INDIVIDUAL.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HEALFAST AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

THIS MAY INCLUDE LOSS OF DATA, LOST PROFITS, BUSINESS INTERRUPTION, OR OTHER INDIRECT LOSS.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, HEALFAST'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID DIRECTLY TO HEALFAST DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  • ONE THOUSAND U.S. DOLLARS ($1,000).

Nothing in these Terms excludes or limits liability where doing so is prohibited by applicable law.

HealFast may provide notices to you through:

  • Patient portal notification
  • Posted notice on the Service
  • Regular mail
  • Other electronic methods permitted by law

You are responsible for maintaining accurate contact information.

Electronic Communications

When you access or use the Service or communicate with HealFast, Providers, Pharmacies, or the Medical Group electronically, you consent to electronic communications.

You agree that agreements, notices, disclosures, and other communications provided electronically satisfy legal requirements that such communications be in writing to the extent permitted by law.

Electronic communications may involve risks of unintended disclosure.

You are responsible for maintaining the privacy and security of email accounts, telephone devices, computers, and other systems used to receive communications.

Dispute Resolution

Informal Dispute Resolution

Before beginning arbitration or other formal proceedings, you and HealFast agree to attempt in good faith to resolve disputes informally.

A party initiating a dispute must provide written notice describing:

  • The nature of the dispute
  • Relevant facts
  • The legal or contractual basis for the claim where known
  • The relief requested
  • Relevant transaction or account information
  • The claimant's name and contact information

The parties agree to attempt in good faith to resolve the dispute for at least sixty (60) days after a compliant notice is received before initiating arbitration.

Agreement to Binding Individual Arbitration

Except as otherwise provided below, disputes arising out of or relating to these Terms, the Service, products or services obtained through the Service, advertising relating to the Service, or your relationship with HealFast shall be resolved through final and binding individual arbitration.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

Arbitration shall be administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules, as modified by these Terms.

A single neutral arbitrator will decide the dispute.

The arbitrator may award remedies available under applicable law on an individual basis.

Small Claims Exception

Either party may bring an eligible individual claim in small claims court if the claim falls within that court's jurisdiction and remains an individual action.

Intellectual Property Claims

Claims involving infringement or misuse of patents, copyrights, trademarks, trade secrets, or other intellectual property rights may be brought in a court of competent jurisdiction where permitted by law.

Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND HEALFAST AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY.

NEITHER PARTY MAY BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER.

THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MULTIPLE INDIVIDUALS EXCEPT WHERE BOTH PARTIES EXPRESSLY AGREE OR APPLICABLE LAW REQUIRES OTHERWISE.

Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND HEALFAST WAIVE ANY RIGHT TO A TRIAL BY JURY FOR DISPUTES SUBJECT TO THIS AGREEMENT.

Arbitration Opt-Out

You may opt out of the arbitration agreement by sending HealFast a written notice within thirty (30) days after the date you first accept these Terms.

Your notice must include:

  • Your full name
  • Your email address
  • Your mailing address
  • A clear statement that you wish to opt out of arbitration under the HealFastRx Terms and Conditions
  • Your signature

Opting out of arbitration will not affect the remaining provisions of these Terms.

Governing Law

Except where federal law applies or applicable consumer protection law requires otherwise, these Terms and any dispute arising from them will be governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

To the extent a dispute is not subject to arbitration, the parties consent to jurisdiction and venue in an appropriate state or federal court located in Delaware, except where applicable law requires otherwise.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or modified to best accomplish its intended purpose.

The remaining provisions will remain in full force and effect.

Third-Party Beneficiaries

The Medical Group, Providers, Pharmacies, and certain service providers involved in providing products or services through HealFastRx may be intended third-party beneficiaries of provisions of these Terms that expressly protect or apply to them, including provisions concerning:

  • Medical decision-making
  • Third-party services
  • Disclaimers
  • Liability
  • Indemnification
  • Dispute resolution

Except as expressly provided, these Terms do not create enforceable rights in other third parties.

No Agency Relationship

Nothing in these Terms creates a partnership, joint venture, employment relationship, fiduciary relationship, or agency relationship between you and HealFast, the Medical Group, Providers, Pharmacies, or other service providers.

You may not enter into agreements on behalf of HealFast or otherwise bind HealFast.

Entire Agreement

These Terms, together with any applicable:

  • Privacy Policy
  • Notice of Privacy Practices
  • Telehealth Consent
  • Treatment-specific consent
  • Subscription terms
  • Checkout disclosures
  • Other agreements expressly incorporated by reference

constitute the agreement between you and HealFast concerning your use of the Service.

Assignment

You may not assign your rights or obligations under these Terms without HealFast's prior written consent.

HealFast may assign or transfer these Terms, in whole or in part, to an affiliate, successor, purchaser, or other entity in connection with a merger, acquisition, reorganization, financing, sale of assets, or other business transaction.
